Statement Of Work for T&M Projects

Our Statement of Work for Time & Material projects.

I. Introduction

This Statement of Work (“SOW”) dated (“Effective Date”) is made part of the Master Service Agreement executed between (“Client”) and Wednesday Solutions (“Wednesday”) dated (“Agreement”).

In the event of a conflict between the terms and conditions of the Agreement and the terms of this SOW, the terms of this SOW shall control only for the purposes of setting forth the Services performed herein.

All capitalized terms used herein without definition shall have the meanings assigned to them in the Agreement; all capitalized terms defined herein shall have the meaning set forth in this SOW.

II. Terms and Conditions

Parties agree to the following terms herein;

2. Validity

The SOW shall remain valid until the Parties terminate the Agreement or Either Party terminates this SOW for convenience by providing thirty (30) days prior written notice to the other Party.

3. Scope of Work

  • Scope of Work: For consideration of the Fees as specified below, Wednesday agrees to provide Services to the Client. Wednesday shall provide the Personnel as mentioned in Annexure A hereinbelow. The Annexure also enumerates the scope of work to be performed by each Personnel along with the time allocated.

  • Client may request for replacement of assigned Personnel in the event of any material breach or any act of negligence is committed by such Personnel subject to prior advance notice of 30 (thirty) days made by the Client to Wednesday in writing. Wednesday shall at its best efforts replace such Personnel without affecting the. Services.

  • Leaves: Client agrees that Personnel performing Services under this SOW are eligible for leaves/holidays as mentioned in https://playbook.wednesday.is/employee-handbook/benefits-and-perks/holiday-list.

  • Process: The Parties agree that they will adhere to the procedure mentioned herein below for the term of this SOW or unless mutually agreed between the Parties

  • Parties agree that they will adhere to an agile product development process. The high-level details are mentioned below:

  1. Sprint planning: Wednesday personnel will schedule a planning meeting at the start of the sprint. The scope of the sprint will be discussed, and user stories will be written.

  2. Communication: Wednesday will add the customer to their slack channel for verbose communication and daily updates will be shared to the Client.

  3. Sprint demos: Wednesday personnel will demo the work done at the end of the sprint.

  4. Retrospectives & incorporating feedback: Wednesday personnel will schedule a retrospective meeting to incorporate feedback and improve.

  5. Wednesday is flexible to change and incorporate the Client's process mutually agreed upon as long as it still adheres to the agile manifesto.

4. Obligations of parties

  • Client’s Obligations:

  1. The Client agrees that they would be having a dedicated Point of Contact (POC) available for regular feedback related to Services under this SOW and query resolution (“sync-up”).

  2. Timely Feedback: Wednesday will be scheduling regular and timely sync-ups with Client POC to ensure that they receive timely feedback and share note-worthy updates with Client.

  • Wednesday’s Obligations:

  1. Wednesday will be scheduling regular and timely sync-ups with Client POC to ensure that they receive timely feedback and share note-worthy updates with Client.

  2. Wednesday will ensure clear and transparent communication with the Client POC as decided in the Process including all major decisions required to be taken while rendering Services.

5. Fees

For the performance of Services by Wednesday under this SOW, the following rates shall apply for the Services performed

Invoices shall be raised as per the rates specified in the table below:

Monthly Rates:

  1. Rates specified in the table above are exclusive of applicable taxes and shall be charged extra.

  2. A person's month shall comprise <<20>> working days with a minimum of 8 hours of work per day.

  3. Invoices shall be raised at the end of each month.

  4. Rates agreed under this SOW shall be valid for a period agreed between the Parties, subject to revision by Wednesday at its discretion.

  5. Payments under this SOW shall be made as per the terms of the Agreement.

Hourly Rates:

  1. Rates specified in the table above are exclusive of applicable taxes and shall be charged extra.

  2. Invoices shall be raised at the end of each month as per the hourly rates, assuming minimum of 8 hours (“Working Hours”) of work during Monday through Friday and <<20>> working days a month. In the event Wednesday’s personnel render Services on public holidays, weekends, or beyond Working Hours, same will be invoiced to Client.

  3. Rates agreed under this SOW shall for a period agreed between the Parties, subject to revision by Wednesdays at its discretion.

Fees specified in the table above are exclusive of applicable taxes and shall be charged extra, as per the terms of the Agreement.

Payments under this SOW as per the following terms:

  • The payment should be made in the name of “Wednesday Solutions” payable at _______________. Wednesday shall raise invoices to the Client on monthly basis. All fees are payable to Wednesday Solutions within seven (7) days from the date of receipt of invoice or expense report by Client.

  • The fees stated in the SOW are exclusive of all applicable taxes. The client shall be responsible for the payment of all applicable taxes including but not limited to sales, service, use, and export taxes.

  • Wednesday reserves the right to charge an interest of 1.5% per month in case the Client fails to make payments within the aforesaid due date. In addition to other remedies available to Wednesday, in case of non-payment of fees by Client under this Agreement, Wednesday shall be relieved of its obligations under this SOW and the Agreement.

  • Wednesday would have the right to Stop Work hereunder upon non-payment of invoices or expense report within 20 calendar days from the date of invoice/expense report.

  • In the event of a breach of payment terms by Client; Wednesday shall be entitled to suspend Services and all rights therein until receipt of payment from the Client.

6. Expenses

  • Travel: Travel Expenses if any would be invoiced to the Client at actuals

  • Hardware and Software:

  1. During the provision of Services, Wednesday will be using third-party SAAS solutions, Cloud service providers, and other tools.

  2. Wednesday will invoice the cost for the software licenses and any such tools utilized while rendering the Services to the Client shall be at actuals. Wednesday will not bear the cost of any of these tools.

  3. In case the Client has pre-existing software licenses that would be required for rendering services under this SOW, Client agrees to share the login credentials to the licenses with Wednesday personnel. Wednesday will request Client to procure paid software licenses required for the services to be rendered under this SOW and share the credentials with Wednesday personnel Client must ensure these licenses are to be provided in a timely fashion to avoid delay in Services.

  • Other expenses agreed between the Parties:
